Senior Real Estate Counsel

The Senior Real Estate Counsel will report to Phillips Edison & Company's General Counsel. This role will be based out of the Cincinnati, OH corporate headquarters location. **Essential Duties and Responsibilities:** * Work with General Counsel, CFO and COO to provide legal advice concerning structure of debt and equity transactions. * Work closely with Director of Debt and VP of Finance to negotiate refinancings, lines of credit, acquisition loans, loan assumptions, and restructuring of debt. * Communicate terms of debt transactions to the organization and help ensure the terms of the documents are followed. Provide legal advice to the company / departments concerning the same. * Work closely with the asset manager to strategically dispose of assets. * Draft, review and negotiate the purchase and sale agreements for dispositions. * Work closely with the acquisitions team and the CIO to draft, review and negotiate the closing documents for the acquisition of shopping centers. * Hire, manage, and work with outside counsel on transactions requiring assistance of outside counsel. * Interview, hire, train, mentor, supervise and manage junior attorneys and paralegals within the legal transactions team. * Provide ongoing performance coaching for the legal transactions team.

**Education and Experience Requirements:** * Juris Doctorate and membership in at least one state bar required. * Minimum of seven years of relevant experience working as a lawyer with a law firm and/or in-house legal department with an emphasis in commercial real estate law required. * Experience running debt transactions and asset purchase and sales required. * Excellent written and verbal communication skills and strong problem-solving skills required. **Preferred Experience includes:** * Working understanding of REITs * Experience working with JVs * Private fund formation * Exposure to working with Board of Directors
